We have changed the hair journey of more than 5000 curlies and we want to continue to do so. We chose to crowdfund because we want all of you to have the opportunity to take part and make a difference! We believe that everyone should be able to feel beautiful and confident in their natural hair and this should be encouraged by the hair care industry. The primary use of our funds will be used to scale our business, expand our team, and launch new products to the market.

What is equity crowdfunding?

Are you familiar with the reality TV series called Shark Tank? If so, then you are almost on the right path. Instead of having a panel of investors or "sharks," who decide to invest in our company, in equity crowdfunding, alongside investors we will also raise funds from friends, family, and customers.

When you invest in equity you buy a percentage or share of our business. Hopefully, one day, The Wild Curl goes on to make an ‘exit’ (via a sale to another company) at a higher value than when you invested, and you will get a return on your investment and make a profit.

How do I invest?

To invest, you’ll need to pre-register your interest here so that you’ll get exclusive access to our campaign. Once our raise begins (you won't miss it, we will be loud and clear about it), you'll need to register as a Crowdcube member (which you can do here) and then simply click ‘Invest Now’ on our pitch page. You can invest as little as around £10 to help fuel our growth.

In order to speed up things you can also create your account in Crowdcube!

*You will have the option to invest from around £10 but it will be rounded to the closest multiple of the share price.

*If you like you can register as a Crowdcube member in advance. This way you can just relax, have a cup of coffee and wait for our campaign to go live to invest.

When will the campaign go live?

We're planning to launch our campaign very soon, but the best way to get access to the campaign before it goes live to the public is by pre-registering your interest above. We'll then send you an email to let you know when you're able to invest.

Who can invest?

To invest with Crowdcube and help fund the wonderful you must be over 18 years old and legally entitled to invest. You’ll also need to be a resident of the UK or Europe.

We can’t advertise investment opportunities to those living in the United States, Canada, Japan or any other country where it would be unlawful for our pitches to be advertised. Please don’t register with us if you are a resident of these countries.

When creating your Crowdcube account, please make sure you create it in your own name, as we can’t accept joint investments.

Are customers able to invest?

Of course! Customers are welcome to invest, and those who pre-register their intent to invest now will have access to the exclusive private phase of our investment raise.

How does the crowdfunding process go?

There are three phases in the crowdfunding process, a private launch, public launch and overfunding.

A pitch will first launch in private mode, giving the chance to secure pre-registered investment, such as lead investors, friends, family, and customers. The private launch will follow a public launch when the pitch will be available for all registered Crowdcube members.

When a pitch has reached 100% of its funding target the business may choose to overfund. This is when the company can choose to accept further investment in exchange for releasing more equity. Businesses are not required to accept further investment once their funding target has been reached. Anyone who invests while a business is overfunding has exactly the same rights as those who invested before overfunding.

If a pitch fails to reach its funding target within the time allowed (including extended time) and it is cancelled, no payments will be taken from investors, nor will any fees be charged to the business.

How can I pay for my investment?

To offer more ease of mind and accessibility, the crowdfunding will be driven by Crowdcube. This means the payment and legal process will be managed by them. They accept payments via Visa and Mastercard debit, credit, or prepaid cards. Payments are processed using Stripe, our third-party payment provider. Unfortunately, they are unable to accept payments via cheque or direct transfer.

​What happens after I have invested?

Once the pitch reaches its target and closes to further funding, our completions process starts. At that point, all investors will receive a copy of the Articles of Association via email and will be informed of the cooling-off period. Once the cooling-off period, which is generally no less than seven days has expired, the payment collections process starts, and then electronic share certificates are issued.

Can I sell or transfer my shares?

The Wild Curl is a private company, which means it doesn't trade on a stock exchange. This means you can only sell The Wild Curl shares when a ‘liquidity event’ occurs, that is when the whole or part of the company is sold, it lists on an exchange, or it sells a major asset such as a brand.

Can I apply for tax relief?

Yes. We have been approved for EIS tax relief to the UK investors.

1. Income Tax Relief

There is no minimum investment through EIS in any one company in any one tax year. Tax relief of 30% can be claimed on investments (up to £1,000,000 in one tax year) giving a maximum tax reduction in any one year of £300,000, provided you have sufficient Income Tax liability to cover it. EIS allowances are allocated individually; therefore a married couple could invest up to £2 million each tax year and be eligible for Income tax relief. The shares must be held for at least three years from the date of issue or the tax relief will be withdrawn.

People connected with the company are not eligible for Income Tax Relief on their shares.

2. Capital Gains Tax exemption (CGT)

Any gain is CGT free if the shares are held for at least three years and the income tax relief was claimed on them. Shares can be held for much longer and therefore potentially enable the investor to be accrue their CGT exemption over a long period of time which can be a great attraction.

3. Loss relief

If shares are disposed of at a loss, the investor can elect that the amount of the loss, less Income Tax relief given, can be set against income of the year in which they were disposed or, on income of the previous year instead of being set of against any capital gains.

4. Capital Gains Tax deferral relief

Payment of CGT can be deferred when the gain is invested in shares of an EIS qualifying company. The gain can be made from the disposal of any kind of asset but the Investment must be made one year before or three years after the gain arose - connection to company does not matter. Unconnected investors are eligible for relief from both Income tax and CGT referral relief.
